1. What is Form SH-2 ?
Form SH-2 is Register of renewed & duplicate shares capital. It is issued pursuant to sub-section(3) of section 46 of the Companies Act 2013& Rule 6(3)(a) of the companies ( share capital & debentures)Rule2014. This form indicates the name of the person to whom the certificate is issued, the number of date of issue of shares certificate in lieu of which the new certificate is issued and the necessary changes indicated in the Registerof member by suitable cross-reference in the “Remark” column.
2. Why is Form SH-2 used?
Form SH-2 is Register of renewed & duplicate shares is issued, if such certificate:-
● Is provided to have been lost or destroyed
● Has been defaced,mutilated or torn and is surrendered to the company.
When a share is held depository form, the record of the depository is evidence of the interest of the beneficial owner. Duplicate Share Certificate is issued by:
● Prior Consent of Board
● Surrender of old certificate
● With or without charging fees maximum of Rs.50 per share Certificate
