1. What is Form SH-3 ?
Form SH-3 is Register of sweat Equity Share dealt under section-54 of the Companies Act,2013 and Rule 8(14) of the companies (Share Capital and Debentures) Rules. It means such equity shares are issued by a company to its directors or employees at a discount or for consideration, other than cash , for providing their known-how or making available rights in the nature of intellectual property rights and values. This form contains the details of the allottees to wom sweat equity have been issued
2. Why is Form SH-3 used ?
The company shall maintain a Register of Sweat Equity Shares in Form SH-3 and shall forthwith enter therein the particulars of sweat Equity Shares issued under Section54. This is maintained at the registered office of the company or by any other person authorized by the board for the purpose. The entries in the register are authenticated by the Company Secretary of the company or other person authorized by the board for the purpose.
