1. What is Form SH-9 ?
Form SH-9 is termed as Declaration of Solvency in E-Format .It falls under section 68(6) of the Companies Act,2013 & Rule 17(3) of companies (Share Capital and Debentures) Rules 2014. In this declaration it is maintained as whether the company is listed, name of stock exchange, date of listing, name of merchant banker along with the documents required as: copy of board resolution, statement of assets and liabilities , auditor’s report, affidavits per rule 17(3) and copy of special resolution.
2. Why is Form SH-9 used ?
Form SH-9 Declaration of Solvency is required to be filled by the Registrar, along with the letter of offer, and in case of a listed company with the Registrar and Securities and Exchange Board, a Declaration of Solvency in Form SH-9 along with the fee and signed by at least two directors of the company, one of whom shall be the managing director, if any and verified by an affidavit as specified in the form.
