1. What is Form MGT 12?
MGT 12 is a form filed in pursuance of Section 109(5) of the Companies Act,2013 and Rule 21 of the Companies (administration and management) Rules, 2014.
Section 109(5) provides that Where a poll is to be taken, the Chairman of the meeting shall appoint such number of persons, as he deems necessary, to scrutinise the poll process and votes given on the poll and to report thereon to him in the manner prescribed under Rule 21(c) of the Companies (administration & management) Rules, 2014.
2. Why is it important?
Section 109 of the Companies Act, 2013 shall apply to IFSC Public Company unless otherwise provided in the AOA of the company and Where a poll is to be taken, the Chairman of the meeting shall appoint such number of persons, as he deems necessary, to scrutinise the poll process and votes given on the poll and to report thereon to him in the manner prescribed.
