1. What is Form MGT 15?
MGT 15 is a form filed by every listed public company to file an annual meeting report with the Registrar of the Company. The form is filed pursuant to Section 94(1), 121(3) of the Companies Act,2013 and Rule 31(2) of the Companies( Management and Administration) Rules, 2014.
Every listed public company shall prepare a report on the annual general meeting. The report shall provide a confirmation that the meeting was convened, held and conducted as per the provisions of the Act and the rules. The copy of the report shall be filed with the Registrar in eForm MGT-15 within 30 days of the conclusion of the annual general meeting along with the prescribed fee.
2. Why is it important?
The following shall be the penalties under Section 121 of the Act:
