1. What is Form SH 15 ?
Form SH 15 is the compliance certificate issued by directors of the company certifying that company has complied with all the provisions related to buy back as mentioned in the Companies act for the buy back of securities. Buy-back is the process by which Company buy-back its Shares from the existing Shareholders usually at a price higher than the market price. When the Company buys-back the Shares, the number of Shares outstanding in the market reduces/falls. This form shall be annexed with SH 11 and must be signed by at least two directors, one of whom shall be managing director.
2. Why is it Important ?
This form is a self declaration from the directors of the company that they have complied with all the provisions related to buy back as mentioned in the act.
